Guidance on Corporate Governance
This book shows that corporate governance is essential for companies to achieve optimum results, in an efficient and solid manner. It allows us to understand the 2015 legislative change in the Spanish Companies Law and the Criminal Code and how to prepare the company to ensure that it complies with the legislation in a simple and practical way. It also shows how the profit and loss account can benefit from all this.
A book aimed at business people, millennials who want to set up their own company, small and medium-sized enterprises, board members, directors, as well as at their advisors, and in general, at anyone who wants to know and understand what corporate governance is all about.
Compliance Penal
I have contributed to the last chapter of this edited collection: "Good corporate governance and how to implement a compliance programme". This chapter describes, in a practical manner, the areas to be considered when designing and implementing a compliance programme. It includes references and explanations of the US Department of Justice (DoJ) guidelines on how courts can evaluate compliance programmes, as they provide valuable and pragmatic insights. I also talk about the ESG factors, which are currently highly demanded by investors, as part of their investment decision-making process.
